IMPORTANT: READ CAREFULLY BEFORE PURCHASING OR USING MADAMESQUE INC. PROPRIETARY MATERIALS INCLUDING ANY AUDIO AND/OR VISUAL PRESENTATIONS, MEMBERS AREA, AND/OR PROGRAMS ASSOCIATED WITH Live or Online Events Daniela Sulek. BY REGISTERING FOR AN EVENT AND/OR PURCHASING A TICKET, YOU ACKNOWLEDGE THAT
A. YOU HAVE READ THIS AGREEMENT,
B. YOU UNDERSTAND IT, AND
C. THAT YOU ACCEPT AND AGREE TO BE BOUND BY ITS TERMS.
SECTION 1
REFUNDS

1.1 Refunds: The Client shall not be entitled to any refunds for Fees paid or for Fees due and
payable to Madamesque.

SECTION II
LIMITATION OF LIABILITY

2.1 Disclaimer: The Client hereby acknowledges that Madamesque is in no way guaranteeing any specific results through the performance of Services under this Agreement. Madamesque makes no representation or warranty or condition of any kind concerning the Services, including any warranty or condition of fitness for a particular purpose. Any testimonials or reviews of the Services provided by Madamesque shall not be construed by the Client as representations or guarantees. The Client acknowledges that any decisions made or courses of action taken as a result of receiving the Services, and any consequences arising therefrom, are the sole responsibility of the Client and Madamaesque bears no responsibility or liability for any such consequences.
2.2 Not Medical Advice: The Client acknowledges that the Services and any other information provided by Madamesque to the Client are not to be construed as psychological counseling, therapy or medical advice, and that the representatives of Madamesque are not medical professionals. Madamesque and the representatives thereof are not intended to act as an alternative to or substitute for any medical treatment of any form, and Madamesque shall not be liable for any damages arising from the failure of the Client to seek appropriate psychological help, therapy or medical attention or treatment. Further, the Client represents that he or she is not currently undergoing any psychological help, therapy, medical attention or treatment of any kind or has obtained the express permission, in writing and to be provided to Madamesque, of his or her medical professionals to engage in the Services provided pursuant to this Agreement. If the Client begins any psychological help, therapy or medical attention or treatment during the Term of this Agreement, the Client agrees to immediately obtain the express permission, in writing and to be provided to Madamesque, of his or her medical professionals to continue receiving the Services under this Agreement. If such permission is not obtained, Madamesque reserves the right to terminate this Agreement under Section 1.5 herein.

2.3 No Consequential Damages: IN NO EVENT SHALL MADAMESQUE OR ANY EMPLOYEE, OFFICER, DIRECTOR, AGENT OR OTHER REPRESENTATIVE OF MADAMESQUE BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR OTHER PECUNIARY LOSS, ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT AND THE SERVICES PROVIDED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF SUCH POSSIBILITY WAS REASONABLY FORESEEABLE. THE FOREGOING DISCLAIMER SHALL APPLY REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON BREACH OF CONTRACT, TORT, INCLUDING STRICT LIABILITY, NEGLIGENCE, MISCONDUCT, OR OTHERWISE.

2.4 Liability Cap: WITHOUT LIMITATION, IN NO EVENT SHALL MADAMESQUE’S LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT PAID UNDER THIS AGREEMENT BY THE CLIENT IN THE 12 MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

2.5 Indemnification by the Client: The Client shall defend, indemnify and hold harmless Madamesque and its representatives against any and all claims brought by a third party arising out of or in connection with this Agreement.

SECTION III
INTELLECTUAL PROPERTY RIGHTS

3.1 Intellectual Property Rights: The Client acknowledges and agrees that no right or interest whatsoever in or to any copyright, trademark rights, industrial design rights, design rights, inventions (whether patentable or not), unpublished patent applications, inventive ideas, discoveries, innovations, developments, or improvements thereto, or any other intellectual property or others rights relating to any of the foregoing, whether registered or non-registered (“Intellectual Property”) held by Madamesque shall be granted as a result of this Agreement and/or the Services provided hereunder. Further, the Client acknowledges and agrees that to the extent that the Client may conceive, develop, author, create or contribute to the creation or improvement of any Intellectual Property during the provision of Services under this Agreement, whether solely or jointly with others, with or without use of the Madamesque’s property, equipment or supplies, client does hereby assign all right, title and interest in and to the same to Madamesque and does hereby waive any moral rights therein including without limitation any right to identification of authorship or limitation on subsequent modification.
